Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you" or "user") and CodeLens, a business based in the United States ("we", "us", or "our"), governing your access to and use of the CodeLens website, dashboard, and related services (the "Service").

By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, in which case "you" refers to that entity.

CodeLens connects to a source code repository you choose to share with it (via GitHub or a direct file upload), reads and analyzes its contents, and builds a persistent summary of how the project works (the "Project Brain"). You can then ask questions about the project in a chat interface, generate diagrams of how it's structured, and optionally ask an AI coding agent to draft code changes for you to review and approve before anything is written to your repository.

The Service is provided through a combination of our own infrastructure and third-party providers described in Section 8 and in our Privacy Policy. We may add, change, or remove features at any time.

• You must provide accurate information when creating an account and keep it up to date.
• You must be at least 16 years old, or the minimum age of digital consent in your country, to create an account. If you are under 18, you confirm you have a parent or guardian's permission.
• You are responsible for everything that happens under your account, including actions taken by anyone you give access to your credentials or connected GitHub account. Keep your login method and any two-factor authentication device secure and notify us promptly of any unauthorized access.
• One account per person. You may not share, sell, or transfer your account to another person.

CodeLens is offered on a free plan and on paid subscription plans (currently Starter, Pro, and Enterprise) with different usage limits and features, as described on our pricing page. Paid plans are billed on a recurring basis (e.g. monthly) until cancelled.

Payments are processed by Paddle.com Market Limited, acting as our authorized reseller and Merchant of Record for all purchases made through the Service. This means Paddle — not CodeLens directly — is the seller of record on your receipt, handles payment collection, tax (including VAT/sales tax) calculation and remittance, and is the party you are contracting with for the payment transaction itself. Paddle's own terms and privacy policy, shown to you at checkout, apply to that transaction alongside these Terms.

Subscriptions automatically renew for the same term unless cancelled before the renewal date. You can cancel at any time from your account settings; cancellation stops future renewals but does not retroactively refund the current billing period, except as described in our Refund Policy. We may change our prices; if we do, we'll give you advance notice before it affects your next renewal.

You agree not to use the Service to:

• Connect or process a repository you don't have the legal right to share with us.
• Upload, generate, or attempt to generate malicious code, malware, or content intended to attack, exploit, or gain unauthorized access to any system.
• Attempt to bypass usage limits, reverse-engineer the Service, or access it through automated means outside of any API we officially provide.
• Resell, sublicense, or provide access to the Service to third parties as your own product.
• Use the Service to violate any applicable law, or the intellectual property, privacy, or other rights of any third party.
• Interfere with the normal operation of the Service or attempt to overwhelm our infrastructure or that of our providers.

We may suspend or terminate accounts that violate this section, with or without notice, depending on severity.

You retain all ownership rights to the source code, files, and other content you connect to or upload into CodeLens ("Your Content"). We claim no ownership over it.

By connecting a repository or uploading files, you grant us a limited license to access, read, copy, store, and process Your Content solely to provide and improve the Service to you — for example, to build your Project Brain, answer your questions, generate diagrams, and (only when you explicitly request it) draft file changes. We do not sell Your Content, and we do not use it to train our own AI models.

Some AI responses are generated by third-party model providers we route requests through (see Section 8). Content you submit in chat, and relevant repository excerpts needed to answer your question, are sent to those providers to generate a response. Free-tier models in particular may be offered by their providers under different data-handling terms than paid models — see our Privacy Policy for details, and avoid selecting a free-tier model for highly sensitive code if that is a concern for you.

CodeLens uses AI models to answer questions, summarize code, generate diagrams, and optionally draft code changes. AI output can be incomplete, outdated, or simply wrong. You are solely responsible for reviewing and verifying anything the AI produces — explanations, diagrams, or code — before relying on or merging it.

The coding agent feature only reads your repository and only writes files after you explicitly click "Start coding" on a plan it proposes. When connected to GitHub, it never pushes directly to your default branch: it creates a new branch and opens a pull request, which only merges if you (or someone with permission on your repository) approve and merge it yourself. We are not responsible for code you choose to merge without reviewing it.

The Service relies on the following categories of third-party providers to function. Details on what data each one processes are in our Privacy Policy.

• GitHub — for sign-in and to read (and, with your explicit action, write to) repositories you connect.
• Supabase — our database, authentication, and storage provider.
• OpenRouter and underlying AI model providers — to generate chat responses, summaries, and code.
• Paddle — to process payments for paid plans, as described in Section 4.

We are not responsible for outages, errors, or changes in these third-party services that are outside of our control, though we'll do our best to keep the Service working around them.

The Service itself — its software, design, branding, and the CodeLens name and logo — is owned by us or our licensors and protected by intellectual property law. These Terms don't grant you any rights to our trademarks or branding beyond what's needed to use the Service normally.

You may stop using the Service and delete your account at any time from your account settings. We may suspend or terminate your access if you materially breach these Terms, if required by law, or if we discontinue the Service, in which case we'll give reasonable notice where practical. Sections that by their nature should survive termination (ownership, disclaimers, liability, governing law) will continue to apply.

The Service is provided "as is" and "as available", without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that AI output will be accurate or complete.

To the maximum extent permitted by law, CodeLens and its team will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, profits, or business, arising from your use of the Service — including damages resulting from AI-generated code or advice. Our total liability for any claim relating to the Service will not exceed the amount you paid us in the twelve (12) months before the claim arose, or USD 100 if you used a free plan.

You agree to indemnify and hold us harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your violation of these Terms, misuse of the Service, or the content you connect to it.

We may update these Terms from time to time. If we make material changes, we'll notify you by email or through the Service before they take effect. Continued use of the Service after a change takes effect means you accept the updated Terms.

These Terms are governed by the laws of the United States, without regard to conflict-of-law principles. Any dispute not otherwise resolved will be brought in a court of competent jurisdiction in the United States.
